Terms and Conditions Revisual

Version 1.0 • July 14, 2026

English translation
This English version is provided for convenience only. The Dutch version is the only legally binding version. In case of inconsistencies, the Dutch version prevails.

These general terms and conditions ("Terms") govern the use of the platform and the services of Revisual and the subscription agreement concluded between the parties. By accepting an offer, placing an order, creating an account or using the platform, the Customer accepts these Terms in full and without reservation.

These Terms apply exclusively to professional customers (B2B). The offer is not directed to consumers within the meaning of Book VI of the Belgian Code of Economic Law ("CEL").

1. Definitions

In these Terms, the following concepts have the meaning stated alongside them:

  • Provider / We / Us: Sam Piryns, trading under the name "Revisual", a sole proprietorship (student enterprise), with registered office at Palmendreef 54, 9040 Gent, registered in the Crossroads Bank for Enterprises under enterprise number 1035.810.540, e-mail [email protected].
  • Customer / You: the professional enterprise, legal entity or self-employed person who enters into an agreement with the Provider or uses the Platform.
  • Platform: the self-serve software service of the Provider, accessible via revisual.be, with which AI-generated interior visuals (virtual staging) are created and applied as overlays on real estate listings.
  • Service(s): the entirety of functionalities offered via the Platform, including the generation, management and display of AI-visuals.
  • Source Images: the image files provided by the Customer or that are already on the Customer's real estate listing, which serve as input for the Service.
  • AI-Output / Visuals: the images generated by the Service (virtual staging).
  • Slot: a unit of the subscription corresponding to one simultaneous Active Property.
  • Active Property: a real estate property for which the Visuals are actively displayed via the Platform and of which the underlying listing is still online/published.
  • Tier / Subscription Plan: a subscription formula with a certain number of Slots at a certain price, as described in §5.
  • Third-party-API: the external AI provider(s) on which the Service relies to generate and analyze the Visuals (e.g. OpenAI, fal.ai, Volcengine Ark and ElevenLabs).
  • Agreement: the entirety of the accepted offer/order and these Terms.

2. Applicability and priority

2.1. These Terms apply to every offer, order, agreement and delivery between the Provider and the Customer, to the exclusion of any purchase or other conditions of the Customer, even if they stipulate that they apply exclusively.

2.2. Deviations from these Terms are only valid if they have been accepted in writing and explicitly by the Provider, and only apply to the relevant agreement.

2.3. In the event of contradiction, the following priority applies: (1) the expressly and written agreed special conditions or offer, (2) these Terms.

3. Offer, acceptance and formation

3.1. Every offer from the Provider is non-binding and valid for the term stated therein, or failing that for thirty (30) calendar days.

3.2. The Agreement is concluded at the moment the Customer explicitly accepts the offer or the order (by signature, an explicit agreement by e-mail, checking an acceptance box or placing an online order) and thereby accepts these Terms.

3.3. The Terms are made available to the Customer before or at the latest upon conclusion of the Agreement. Acceptance is evidenced by the action described in art. 3.2. Mere mention of the Terms on a later invoice does not suffice as acceptance, but does confirm their applicability.

3.4. The person acting on behalf of the Customer declares to be authorized to bind the Customer.

3.5. Professional capacity. The Customer declares and guarantees that he enters into the Agreement in the context of his trade, business, craft or professional activity and therefore does not act as a consumer within the meaning of art. I.1, 2° CEL. To this end, the Customer provides his enterprise number (KBO) upon registration. The Provider may refuse or suspend the registration if no valid enterprise number or professional capacity is demonstrated.

4. Description of the Service

4.1. The Provider makes a self-serve platform available with which the Customer can have AI-generated interior visuals created based on Source Images and apply these as an overlay to their own real estate listings.

4.2. The Visuals are generated using a Third-party-API. The Provider has no control over the underlying AI models and cannot guarantee the exact, artistic or technical outcome of a generation.

4.3. The Visuals are illustrative and AI-generated. They do not form an exact, faithful or dimensionally stable representation of the actual state of the property. They are intended for inspiration and presentation, not as architectural, technical or contractual representation.

4.4. The Service is provided as an online service ("as a service"). The Provider does not supply physical goods, interior design, renovation or real estate advice, nor real estate brokerage services.

5. Subscription and slots model

5.1. Tiers. The Service is offered via subscription formulas (Tiers). Each Tier includes a certain number of Slots. The number of Slots and the price per Tier are stated in the offer or on the website.

5.2. Active Property. One Slot corresponds to one Active Property that is simultaneously displayed via the Platform. A property is "active" as long as the accompanying listing is published.

5.3. Release of a Slot. As soon as a property is no longer listed (e.g. sold, rented out or removed from the website), the corresponding Slot becomes available and can be used by the Customer for another property.

5.4. Up- and downgrade. The Customer can upgrade to a higher Tier during the term; the upgrade takes effect immediately and the price difference is charged pro rata. A downgrade takes effect from the next renewal period. There is no refund of already paid periods or unused Slots (see §7 and §8).

5.5. No refund of unused Slots. Unused Slots within a period do not entitle to a refund, settlement or transfer to a subsequent period.

6. Prices, invoicing and payment

6.1. Prices. All prices are expressed in euros. The Provider charges no VAT under the exemption scheme for small enterprises (art. 56bis VAT Code); invoices bear the legally required mention "Btw niet toepasselijk • bijzondere vrijstellingsregeling kleine ondernemingen".

6.2. Invoicing method. The subscription is invoiced in advance and monthly, unless the Customer chose annual advance payment with a discount. Payment is made via the payment method offered on the Platform or by invoice.

6.3. Payment term. Invoices are payable within fourteen (14) calendar days after the invoice date, unless otherwise agreed in writing.

6.4. Late payment. In the event of non-payment on the due date, the following is due by right and without prior notice of default:

  • (a) default interest at the legal interest rate for late payment in commercial transactions (Act of 2 August 2002, transposing Directive 2011/7/EU), and
  • (b) a lump sum compensation of 40 euros for collection costs, without prejudice to the Provider's right to claim the actual collection costs if they are higher.

6.5. Dispute. Invoices must be disputed in writing and with reasons, under penalty of forfeiture, within fourteen (14) calendar days after the invoice date.

6.6. Price modification. The Provider may change the prices for future periods, provided notice is given at least thirty (30) calendar days before the next renewal. If the Customer does not agree, they can cancel the Agreement as of the effective date of the new price in accordance with §7.

7. Term, renewal and cancellation

7.1. Term. The Agreement is entered into for the chosen period (monthly or annually) and is tacitly and automatically renewed for an equal period, unless timely cancelled. If the offer provides for a minimum term, the Agreement cannot be cancelled before the end thereof; afterwards, the cancellation scheme of this article applies.

7.2. Cancellation. The Customer can stop the renewal as long as the payment for the next period has not yet commenced/become due. The cancellation takes effect at the end of the current, already paid period.

7.3. No interim cancellation of a paid period. Once a period has been paid, that period can no longer be cancelled, annulled or refunded. The already paid period always continues in full.

7.4. Form. Cancellation is done via the provided function on the Platform or by e-mail to [email protected].

7.5. No refund. Barring mandatory legal provisions, cancellation does not give rise to any refund. See also §8.

8. No refund • demo/trial version

8.1. Paid fees are not refunded, in whole or in part, not even in case of non-use, early termination, blocking due to non-payment or downgrade.

8.2. The Provider may offer a demo or free trial version. Its scope, duration and conditions will be communicated separately. After the trial period, the regular rates and Terms apply.

9. Blocking for non-payment

9.1. If the payment term is exceeded, the Provider has the right, after notification, to suspend or block access to the Platform and/or the display of the Visuals, without this releasing the Customer from their payment obligation.

9.2. An already paid period always continues in full; blocking due to non-payment does not entitle to a refund of that period.

9.3. In case of persistent default of payment, the Provider can dissolve the Agreement with immediate effect, without prejudice to its right to compensation and to the already due amounts.

10. Source Images • guarantees and indemnification by the Customer

10.1. The Customer provides the Source Images or designates the already published listing images that serve as input.

10.2. The Customer guarantees that they have all necessary rights, licenses and permissions to provide the Source Images and have them processed by the Provider, including copyrights, neighboring rights, portrait rights and any rights of third parties.

10.3. The Customer fully indemnifies the Provider against any claim, demand, damage, cost (including reasonable attorney's fees) or fine from third parties or authorities arising from or related to the Source Images or their use, including claims for infringement of intellectual property, privacy or portrait rights.

10.4. The Provider is not obliged to check the legality of the Source Images and may assume that the Customer has the required rights.

11. Intellectual property and user license on the AI-Output

11.1. Platform. All intellectual property rights on the Platform, the software, the underlying technology, the brands and the design vest in the Provider or its licensors. Nothing in these Terms transfers those rights to the Customer.

11.2. AI-Output. Parties acknowledge that images generated purely by AI may have no or only limited copyright protection and that the Provider cannot guarantee any exclusivity or enforceable copyright in this respect.

11.3. Granting of rights. Insofar as the Provider can assert any rights to the Visuals, it grants the Customer, after full payment, a non-exclusive, worldwide, transferable user license to use, reproduce and publicly communicate the Visuals in the context of the marketing and sale/rental of the relevant property. This license is, as far as possible and legally valid, granted as a property-equivalent user license: within the limits of §11.2, the Customer is considered the rightholder of the Visuals of their properties.

11.4. Limitations of the Third-party-API. The rights that the Customer acquires to the Visuals do not extend beyond what the conditions of the Third-party-API allow. The Provider cannot grant more rights or guarantees than the supplier allows him.

11.5. Feedback. Suggestions or feedback voluntarily provided by the Customer may be freely used by the Provider to improve the Service, without compensation.

11.6. Reference and marketing license. If the offer so provides or the Customer expressly agrees in writing, the Customer grants the Provider a non-exclusive, free license to use the Source Images and Visuals of their properties, as well as their trade name and logo, as a reference and for promotional purposes (website, social media, sales material). This license applies exclusively to images without recognizable persons. The Customer can revoke this permission at any time for the future by e-mailing [email protected]; already distributed material does not need to be recalled.

12. Permitted use and abuse of the slots system

12.1. The Customer only uses the Service for their own professional real estate or interior design activity and in accordance with these Terms and applicable legislation.

12.2. Prohibition on circumventing the slots model. It is not permitted to circumvent or abuse the slots system. In particular, it is prohibited to:

  • create a Visual (e.g. a video or image) for a property,
  • subsequently free up/remove the property or Slot, and
  • then (re)use the previously generated Visual for a property or purpose that is no longer covered by a valid, paid Slot.

12.3. The user license of §11.3 only applies to Visuals that are generated and displayed in the context of a valid, paid Slot. Use outside those limits falls outside the license and constitutes a contractual breach.

12.4. In case of abuse, the Provider can suspend access or dissolve the Agreement, without prejudice to damages.

13. AI transparency and responsible publication

13.1. AI marking (EU AI Act, art. 50). The Provider marks the Visuals delivered to the Customer as AI-generated and/or enables the Customer to add an AI label to the displayed Visuals. The Provider offers an option for this.

13.2. Responsibility of the Customer upon publication. The Customer decides for themselves what they publish on their website or other channels and is solely responsible for that publication, including the correct indication of virtual staging and whether or not to activate the AI label.

13.3. Misleading advertising (Book VI CEL). The Customer undertakes not to use the Visuals in a misleading manner. Virtual staging must be recognizable as such; the Visuals may not be presented as a faithful or current representation of the property. The Customer is responsible for compliance with the rules on fair market practices and advertising and indemnifies the Provider against claims arising from their publication.

14. Dependence on third parties and subcontractors

14.1. The Service relies on third-party services, including the Third-party-API for generating the Visuals and hosting, infrastructure, monitoring and communication service providers. These are currently the following suppliers:

  • Supabase: database, sign-in and storage of photos and videos (EU).
  • Cloudflare: R2 storage, platform hosting, CDN and image processing (worldwide).
  • Vercel: hosting of this marketing website (US).
  • Railway: the servers and the background jobs (EU).
  • OpenAI: image generation and text (US).
  • fal.ai: image and video models (US).
  • Volcengine Ark (ByteDance): video generation (outside the EU).
  • ElevenLabs: voice-over for videos (US).
  • Meta Platforms: publishing to Facebook and Instagram (US).
  • TikTok (ByteDance): publishing to TikTok (outside the EU).
  • Google (YouTube): publishing to YouTube and reading the counts of those videos (US).
  • Firecrawl: reading the public pages of real estate agency websites (US).
  • Sentry: error reports from the software (US).
  • Resend: e-mail to users (US).
  • Google: Google Fonts and, once the booking calendar is loaded, Google Calendar for available times, the appointment, and its Google Meet link (US).
  • Uptime Robot: monitoring whether the service is reachable (US).

14.2. The Provider may call upon subcontractors and external suppliers for the execution of the Service, and replace them.

14.3. The availability, performance and conditions of these third parties are beyond the Provider's control. The Provider promises the Customer no more than what these third parties allow him. Interruption, modification, price increase or discontinuation by a third party counts, insofar as it affects the Service, as force majeure within the meaning of §17.

14.4. By connecting a YouTube channel, you also agree to be bound by the YouTube Terms of Service.

15. Availability • no SLA • "as is"

15.1. The Service is provided "as is" and "as available", without any guarantee of uninterrupted or error-free availability, uptime, performance or fitness for a particular purpose.

15.2. The Provider does not provide a service level agreement (SLA) and does not guarantee uptime. The Provider makes reasonable efforts for proper functioning, but may interrupt the Platform for maintenance, updates or for technical, security or legal reasons.

15.3. The Provider is not liable for unavailability, delay, data loss or shortcomings arising from factors beyond its reasonable control, including those of the third parties mentioned in §14.

16. Personal data and privacy

16.1. The Provider processes personal data in accordance with applicable legislation (GDPR) and its privacy statement, which is separately available on revisual.be.

16.2. The Customer acknowledges that the processing of data and images provided by them, and any transfer outside the EEA for generation or communication (e.g. via the Third-party-API and e-mail service), is governed by the privacy statement and, where appropriate, a separate data processing agreement (DPA).

16.3. Insofar as the Provider processes personal data on behalf of and for the account of the Customer, the parties conclude a data processing agreement to that end. This §16 does not prejudice those separate agreements.

17. Force majeure

17.1. Neither party is liable for the non-performance of its obligations (with the exception of payment obligations) when this is the result of force majeure, i.e. any circumstance beyond its reasonable control.

17.2. Force majeure includes: the failure, modification, limitation, price increase or discontinuation of the Third-party-API or of another supplier mentioned in §14, disruptions in networks, hosting or internet, cyberattacks, power outages, government measures, and similar events.

17.3. If the force majeure situation lasts longer than sixty (60) calendar days, either party may terminate the Agreement in writing without compensation.

18. Liability

18.1. The Provider is only liable for direct damage that is the direct and exclusive consequence of a shortcoming attributable to it.

18.2. Exclusion of indirect damage. The Provider is in no event liable for indirect or consequential damage, including loss of profit, loss of turnover, loss of customers, loss or corruption of data, reputational damage, missed savings or claims from third parties.

18.3. Limitation in scope. The total liability of the Provider is limited per claim and per contract year to the amount that the Customer actually paid to the Provider for the relevant Service in the twelve (12) months prior to the damage-causing event.

18.4. Exceptions. The limitations and exclusions in this article do not apply in case of intent or fraud of the Provider, nor in cases where liability cannot be excluded or limited under mandatory law.

18.5. Nature of the Visuals. The Provider is not liable for the use the Customer makes of the Visuals, nor for damage arising from the illustrative, non-faithful nature of AI-generated images (§4.3), from the Customer's publication choices (§13) or from the Source Images (§10).

18.6. The Customer acknowledges that the fees were partly determined in light of this allocation of liability.

19. Transfer of the Agreement

19.1. The Provider may transfer its rights and obligations under the Agreement in whole or in part to a third party, in particular to a company to be incorporated or later incorporated (BV) in which the Provider's enterprise is accommodated.

19.2. The Customer hereby already grants their prior consent for this. The transfer will be communicated to the Customer and does not prejudice their rights under the ongoing Agreement.

19.3. The Customer may not transfer the Agreement without the prior written consent of the Provider.

20. Modification of the Terms

20.1. The Provider may modify these Terms. Modifications will be communicated at least thirty (30) calendar days before they take effect and apply from the next renewal period.

20.2. If the Customer does not agree to a modification that substantially restricts their rights, they may cancel the Agreement against its entry into force in accordance with §7. Continued use after entry into force counts as acceptance.

21. Confidentiality

21.1. Each party treats the confidential information of the other party confidentially and only uses it for the execution of the Agreement.

21.2. This obligation does not apply to information that is public, was lawfully obtained from a third party, or must be disclosed pursuant to a legal or judicial obligation.

22. Applicable law and competent court

22.1. The Agreement and these Terms are governed exclusively by Belgian law.

22.2. Any dispute that cannot be settled amicably falls within the exclusive jurisdiction of the Enterprise Court of Ghent, Ghent division, without prejudice to the Provider's right to summon the Customer before the court of their place of establishment.

23. Complaints

23.1. Complaints about the Service can be addressed to [email protected]. The Provider strives to handle complaints within a reasonable time.

23.2. Filing a complaint does not suspend the Customer's payment obligations.

24. Miscellaneous provisions

24.1. Nullity. If a provision is wholly or partially void or unenforceable, the other provisions remain in full force. The parties will replace the void provision with a valid provision that approaches the original intention as closely as possible.

24.2. No waiver. The failure to enforce a right, or the failure to enforce it immediately, does not constitute a waiver of that right.

24.3. Entire agreement. The Agreement and these Terms constitute the entire understanding between the parties regarding the subject matter thereof and replace all prior oral or written agreements.

24.4. Notices. Notices are validly made by e-mail to the addresses provided by the parties (for the Provider: [email protected]).

24.5. Language versions. These Terms have been drafted in Dutch. The Dutch-language version is the only binding version. Translations (FR/EN) are provided for informational purposes only; in the event of a discrepancy, the Dutch text prevails.
